1. Platform Description

TourneyDonk is a marketplace platform that connects poker players ("Donks") with backers ("Stablemasters") for tournament action staking. We facilitate buying and selling shares in tournament poker action, position trading on the secondary market, and settlement of results.

What we are: A technology platform that enables peer-to-peer staking transactions.

What we are not: A gambling operator, bookmaker, or licensed securities exchange. We do not determine tournament outcomes, set odds, or guarantee staking returns.

2. User Eligibility & Account Responsibilities

2.1 Age Requirement

You must be at least 18 years old to use TourneyDonk. By creating an account, you represent and warrant that you meet this age requirement. Accounts discovered to belong to users under 18 will be immediately terminated.

2.2 Account Registration

When creating an account, you agree to:

• Provide accurate, complete, and current information
• Verify your email address
• Keep your login credentials secure
• Maintain one account per person (no multi-accounting)
• Update your information if it changes

2.3 Account Security

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at support@tourneydonk.com. We offer two-factor authentication (2FA) for enhanced security on financial transactions.

3. Wallet & Financial Terms

3.1 Wallet System

TourneyDonk operates an internal wallet system for managing funds. Your wallet balance represents credits held in escrow by TourneyDonk, not a bank account or stored value instrument.

3.2 Deposits

• Payment Methods: Credit/debit cards via Stripe Checkout
• Account Load Fee: 2.9% + $0.30 (standard credit card processing fee)
• Transaction Limits: New accounts are subject to $500/day deposit limits for the first 30 days
• Fraud Detection: Deposits may be held for review if fraud is suspected

3.3 Withdrawals

• Processing Time: Withdrawals typically processed within 3-5 business days
• Cooling Period: First withdrawal from a new account is subject to a 48-hour hold
• Withdrawal Limits: New accounts limited to $200/day withdrawals for first 30 days
• Verification Holds: Withdrawals may be held pending identity verification (see Section 7)

3.4 Escrow Mechanics

When you buy action in a package, funds are held in escrow until settlement:

• If the player finishes in the money, you receive your proportional share of winnings
• If the player does not cash, your invested funds remain in escrow (loss)
• If a package is cancelled before firing, funds are automatically refunded

4. Package Terms

4.1 Creating Packages

Donks can create packages representing their tournament action. Each package includes:

• Tournament details: Event name, buy-in, date, location/platform
• Markup: Multiplier applied to the buy-in (1.0x - 1.5x allowed)
• Action available: Percentage of action for sale (10% - 85%)
• Fire threshold: Minimum funding percentage required for package to fire
• Deadline: Time by which package must reach fire threshold

4.2 Package Firing

A package "fires" when it reaches the fire threshold by the deadline. At that point:

• The Donk is obligated to play the tournament
• All invested funds are locked in escrow
• No further changes can be made to package terms

4.3 Package Cancellation

If a package does not reach the fire threshold by the deadline, it is automatically cancelled and all funds are refunded. Donks may also manually cancel packages before they fire.

4.4 Term Immutability

Once a package receives its first backing, the terms are locked. Markup, action percentage, fire threshold, and tournament details cannot be changed. This prevents bait-and-switch fraud.

4.5 Anti-Freeroll Protection

Donks must retain at least 15% equity in their own action. This ensures skin in the game and prevents pure freerolls where the player has no personal risk.

5. Settlement Terms

5.1 Reporting Results

After the tournament concludes, the Donk must report:

• Finishing position
• Prize amount won (if any)
• Upload receipt (tournament lobby screenshot or payout confirmation)

5.2 Verification Hold

Upon result submission, there is a 48-hour verification hold during which Stablemasters can review the receipt and dispute if necessary. Funds are released automatically after this period if no disputes are filed.

5.3 Payout Calculation

If the player cashes, payouts are calculated as follows:

• Backer payout: (Action % × Prize Amount) - 5% platform fee
• Donk payout: Retained equity % × Prize Amount

Example: $10,000 prize, 60% sold at 1.2x markup ($7,200 raised), Donk keeps 40%:

• Backers: $6,000 - 5% = $5,700 (distributed proportionally by stake)
• Donk: $4,000

5.4 Settlement Timeline

Once verified, wallet credits are applied instantly. You can withdraw to your bank account or reinvest in other packages.

6. Secondary Market Terms

6.1 Trading Positions

After buying into a package, you may list your position for sale on the secondary market. You can sell:

• Partial positions (sell some of your stake)
• Full positions (exit entirely)
• At custom prices (set your own asking price)

6.2 Platform Rake

TourneyDonk charges a 5% fee on secondary market trades, deducted from the seller's proceeds.

6.3 Market Integrity Rules

• No wash trading: Creating fake volume or manipulating prices is prohibited
• No self-dealing: You cannot buy your own listed positions
• No insider trading: Donks cannot trade on non-public information about their health, intentions, or tournament plans

7. Identity Verification (KYC)

7.1 Verification Requirement

TourneyDonk may require identity verification for:

• Withdrawals over $500
• Accounts with suspicious activity
• Compliance with anti-money laundering (AML) regulations

7.2 Verification Process

Identity verification is conducted via Stripe Identity and includes:

• Government-issued ID (passport, driver's license, national ID)
• Live selfie capture for biometric matching
• Age verification (must be 18+)

7.3 Verification Fee

A $10 verification fee is charged to cover identity verification costs. This fee is non-refundable.

7.4 Data Handling

We do NOT store raw government ID images. Stripe Identity processes verification and returns only a pass/fail result with extracted metadata (name, DOB, ID number). See our Privacy Policy for full details.

7.5 Verification Status

Verified users receive a "Verified" badge on their profile. Verification is valid for 2 years, after which re-verification may be required.

8. Prohibited Conduct

The following activities are strictly prohibited and may result in account suspension or termination:

• Fraud: Misrepresenting results, falsifying receipts, lying about identity
• Collusion: Coordinating with other users to manipulate packages or markets
• Multi-accounting: Creating multiple accounts to evade limits or bans
• Self-dealing: Buying into your own packages or positions (directly or via alts)
• Payment fraud: Using stolen credit cards, chargebacks on legitimate transactions
• Market manipulation: Wash trading, spoofing, or pump-and-dump schemes
• Platform abuse: Exploiting bugs, scraping data, DDoS attacks, phishing
• Circumventing rules: Using VPNs to evade geographic restrictions, trading off-platform to avoid fees

9. Dispute Resolution

9.1 Dispute Process

If you believe a settlement is incorrect, you may file a dispute within the 48-hour verification window. Disputes must include:

• Specific reason for the dispute
• Evidence (screenshots, tournament lobby results, payout confirmations)

9.2 Admin Review

TourneyDonk admins will review all disputes and make a final determination. We may:

• Approve the original settlement (release funds to Stablemasters)
• Override the settlement (adjust payouts based on evidence)
• Freeze the account pending investigation

9.3 Appeal Process

If you disagree with an admin decision, you may appeal by emailing disputes@tourneydonk.com with additional evidence. Appeals are reviewed by a separate team.

9.4 Binding Arbitration

For disputes not resolved through our internal process, both parties agree to binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted remotely via video conference.

10. Platform Fees

TourneyDonk charges the following fees:

• Account Load Fee: 2.9% + $0.30 (credit card processing fee via Stripe)
• Escrow Fee: 5% of prize winnings (deducted from backer payouts)
• Secondary Market Rake: 5% of trade value (deducted from seller proceeds)
• Identity Verification Fee: $10 (one-time, non-refundable)

All fees are disclosed upfront before transactions. We do not charge hidden fees.

11. Limitation of Liability

11.1 Platform as Marketplace

TourneyDonk is a marketplace facilitator, not a party to staking transactions. We do not:

• Control or influence tournament outcomes
• Guarantee that players will cash or perform well
• Guarantee that Donks will report accurate results
• Provide staking advice or recommendations

11.2 Staking Risk

Staking poker players is inherently risky. You may lose your entire stake. Past performance does not guarantee future results. You are responsible for your own staking decisions.

11.3 No Warranties

TourneyDonk is provided "AS IS" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Accuracy of user-submitted data
• Security against hacking or data breaches
• Availability of funds in the event of platform insolvency

11.4 Damage Cap

To the maximum extent permitted by law, TourneyDonk's total liability to you for any claim shall not exceed the amount of fees you paid to TourneyDonk in the 12 months preceding the claim.

12. Account Termination

12.1 Grounds for Termination

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Commit fraud or prohibited conduct
• Are under 18 years old
• Pose a risk to platform integrity
• Fail identity verification

12.2 Funds in Suspended Accounts

If your account is suspended:

• Temporary suspension: Funds remain in your wallet; access restored after investigation
• Permanent ban for fraud: Funds may be forfeited if you committed fraud or violated AML laws
• Ban for minor violations: You may withdraw remaining funds after resolution

12.3 Voluntary Closure

You may close your account at any time by emailing support@tourneydonk.com. Outstanding positions must be settled or transferred before closure.

13. Modifications to Terms

TourneyDonk may update these Terms of Service at any time. Changes will be effective immediately upon posting. We will notify you via:

• Email to your registered address
• In-app banner notification

Continued use of TourneyDonk after changes constitutes acceptance of the new terms. If you do not agree, you must stop using the platform and close your account.

14. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes not resolved through arbitration shall be brought in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.
